1. Who this agreement covers
This Seller Agreement is between you and DigiBinder Labs, Inc.. It applies if you list an item, accept a cash offer or trade, or receive a payout. The Terms of Service, Privacy Policy, Community Guidelines, and Buyer Protection Policy still apply. If this agreement and the Terms conflict on a seller duty, this agreement controls for that duty.
You must be at least 18 years old. You must complete phone verification, a validated ship-from address, Stripe Identity, and Stripe Connect payouts, and accept this agreement, before creating a new listing.
2. You are the seller of the item
You own the item until it is delivered to the buyer. You are solely responsible for authenticity, accurate condition and description, clear title, packaging, and timely shipment. DigiBinder is the merchant of record for the payment. DigiBinder does not take possession of the item.
- List only physical trading cards you own and are legally entitled to sell.
- Photograph the actual item. Do not use stock or catalog imagery to represent the specific card.
- Grade honestly and disclose material flaws.
- Do not list a card you have already sold elsewhere.
3. Fees and payouts
You pay a marketplace commission on item subtotal (or on a trade cash difference) plus the actual payment-processing cost. Amounts are itemized in the in-app payout breakdown before you confirm. We do not publish a commission rate in this agreement; the rate shown in the app at listing or acceptance is the rate that applies to that order.
Commission is earned when an order completes and is reversed on a full buyer-favorable refund, or where required by law. On a seller-fault refund, you remain responsible for non-returned processing costs and any return shipping.
5. Shipping
- Hand a paid order to a carrier by the ship-by date on the order (3 business days after payment, unless the order shows a different date).
- Orders of $50 or more require a DigiBinder label purchased through the Service. Below $50, you may register a tracked USPS, UPS, FedEx, or DHL Express label.
- Do not disable or downgrade required tracking, insurance, or signature confirmation. If you do, you bear the resulting loss.
- In a trade, both legs must be paid before either party ships.
6. Claims, chargebacks, and counterfeits
Respond to buyer claims within 2 business days. A successful buyer claim, chargeback, or lost-in-transit refund may be billed back to you from held funds or future payouts.
A counterfeit item results in a full refund to the buyer without return, a bill-back of the order value, tax, and shipping to you, and immediate suspension. The item is not returned to you, whether or not you knew it was fake.
7. Stripe Connect and tax information returns
To receive payouts you must open and maintain a Stripe connected account and accept Stripe's Connected Account Agreement. DigiBinder is not a bank or a licensed escrow agent.
You are responsible for taxes on your sales. DigiBinder may collect a Form W-9 or equivalent and may file Form 1099-K or other information returns when legally required. You must keep your tax information current.
8. Suspension and indemnity
We may suspend selling, unlist items, hold payouts, or terminate this agreement if we reasonably believe you have breached it, the Terms, or the Community Guidelines, or if our payments provider requires it.
You will indemnify DigiBinder for claims, refunds, chargebacks, fines, and amounts we pay a buyer because of items you listed or shipped, or because you breached this agreement.
